THIS IS A LEGAL AGREEMENT BETWEEN YOU (“YOU, “YOUR, “OR “YOURS”) AND KALOX MEDIA (STARS), INC., A COMPANY LOCATED IN SIERRA LEONE (“KALOX MEDIA (STARS)), “WE, “US, “OR “OUR”). BY CLICKING ON THE, “I SUBMIT” BUTTON AT THE END OF THE TALENT MEMBERSHIP APPLICATION FORM TERMS AND CONDITIONS (“TALENT MEMBERSHIP TERMS AND CONDITIONS”), YOU AGREE THAT YOU HAVE READ AND UNDERSTAND THESE TALENT MEMBERSHIP TERMS AND CONDITIONS AND THAT YOU AGREE TO BE LEGALLY RESPONSIBLE FOR EACH AND EVERY TERM AND CONDITION HEREIN.   

Any version of these Talent Membership Terms and Conditions in a language other than Krio and English is provided for convenience, and you understand and agree that Krio and English languages will control if there is any conflict.

1. Overview

These Talent Membership Terms and Conditions contain the complete terms and conditions that apply to you when becoming a Talent Member on the Kalox Stars website (the “Kalox Stars website”). These Talent Membership Terms and Conditions allow you to meet clients in and out of Sierra Leone and make money with your career through performance from your skills to our services in the manner set forth herein.

2. Enrollment on Kalox Stars Website (Talent Membership)

(a) Application Completion: If you have not done so, you must complete an application to Become a Talent (the “Application”). In addition, you need to identify your social platforms, describe what you want to gain, what impact you will create on the website when joining Kalox Stars Services on your social media, and provide certain contact information. The application can be found at https://www.kaloxstars.com/join/.

(b) Acceptance of Your Application: If we accept your application, you will receive an email notification confirming that your application has been approved. You understand and agree that we may accept or reject your application at our discretion.

You will be able to accept your application if any of the information you provide needs to be corrected or completed. Suppose your social platforms contain materials of a sexual, pornographic, violent, or defamatory nature. If you or your social platforms discriminate, violate any applicable law, violate any person’s intellectual property rights, or for any other reason, we may reject your application.

(c) Access to our Become a Talent: If we accept your application, we will send you a welcome email with your login details so that you may enter our secure Talent Membership center.

It is your responsibility to keep your username and password information secure. For clarity, promotional materials are defined as banners, text links, article copy, fliers, and access to data feeds.

(d) Please make sure that your information, including your email address, is always complete, accurate, and up-to-date. We may be able to send communications to the email address associated with your account if you don’t mind. I believe you will have received all notifications, approvals, and other communications sent to that email address, even if the email address associated with your account is no longer current.

(e) You must read and understand these terms and conditions. As a member, you also understand and agree that you have read and fully agree to the terms and conditions listed on our website.  

3. Subscription Fee

The website profile subscription is required to keep your online membership profile active. We cannot submit you for projects; your profile will not show, and clients must select you from the website with it. For those In Sierra Leone, please complete the Talent Membership form to set up your NLe 350 annual (Yearly) website membership profile subscription. This membership subscription will need to be renewed each year, so you don’t need to pay extra fees yearly.

For those Outside Sierra Leone, you can complete the Talent Membership form to set up your $30 annual (Yearly) website membership profile subscription. This membership subscription will need to be renewed each year, so you don’t need to pay extra fees yearly.

When you sign up for the Kalox Stars Talent Membership Subscription, you agree to pay the above annual fee for the onboarding sign-up process and your active profile.

You authorize the charges for your Talent Membership Profile and the renewal of your Subscription by agreeing to the Subscription and these Terms and Conditions during the Talent onboarding sign-up process. We will continue to bill your payment regularly until you cancel.

4. Specific Obligations of Members

As a member of Our platform, you represent, warrant, and covenant that You will:

• Link to Our Services: You will implement the fliers, banners, and other means of linking your social platforms to our services (collectively, “Referral Links”) under the referral specifications on the Kalox Stars website.

 You can download certain technical materials on this page, including links, banners, flyers, articles, and other content, and any documentation for the preceding (collectively, “Referral Materials”). When clients click the links to the social platform and come to the Kalox Stars site, they receive the benefit at the end of the day.

(b) Maintain Your Social Platforms: Maintaining and updating your social platform will be your responsibility. Kalox Stars will notify you via email of any changes to these Terms and Conditions and our Materials. However, as a member of our platform and because our information is updated often, you must update the materials on your social platform to maintain consistency and accuracy between our services and you.   

(d) Follow and comply with all copyright laws: It is your responsibility to follow and abide by all applicable copyright and other rules about your social platform. We will not be responsible if you use another person’s copyrighted material, violating the law.

(e) Not to solicit Our Staff: As a member of Our platform, you agree not to directly or indirectly, for Yourself or on behalf of another, solicit business away from, or solicit, induce, influence, or encourage any of Our Staff to discuss business related to Kalox Stars with you online or offline.

5. Disclaimer

WE MAKE NO EXPRESS OR IMPLIED REPRESENTATIONS OR WARRANTIES REGARDING KALOX STARS. ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, AND NON-INFRINGEMENT ARE EXPRESSLY DISCLAIMED AND EXCLUDED. IN ADDITION, WE MAKE NO REPRESENTATION TO KNOW THAT THE OPERATION OF OUR WEBSITE WILL BE UNINTERRUPTED OR ERROR-FREE, AND WE WILL NOT BE LETTING FOR THE CONSEQUENCES OF AN

6. Limitations of Liability

WE WILL NOT BE LIABLE TO YOU CONCERNING ANY SUBJECT MATTER OF THESE TALENT MEMBERSHIP TERMS AND CONDITIONS UNDER ANY CONTRACT, NEGLIGENCE, TORT, STRICT LIABILITY, OR OTHER LEGAL OR EQUITABLE THEORY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES (INCLUDING, WITHOUT LIMITATION, LOSS OF REVENUE OR GOODWILL OR ANTICIPATED PROFITS OR LOST BUSINESS), EVEN IF YOU HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
